Coaching Agreement & Service Disclaimer

1. The Coaching Relationship

This Coaching Agreement describes the nature of the professional relationship between The Bottled Phoenix LLC ("Coach," "Company," "we," or "us") and you ("Client"). By enrolling in any program or service offered by The Bottled Phoenix and completing payment, you acknowledge that you have read, understood, and agree to the terms of this Agreement.

Coaching is a professional partnership focused on your personal development, behavioral change, accountability, and performance. The Coach's role is to provide structure, accountability, frameworks, perspective, and honest challenge. The Client's role is to do the work.

2. Nature of Services · Critical Disclaimer

The services provided by The Bottled Phoenix are coaching and accountability services only. They are expressly not:

  • Medical treatment or medical advice of any kind
  • Clinical therapy, psychotherapy, or counseling
  • Psychiatric evaluation or psychiatric care
  • Licensed addiction treatment or substance abuse treatment
  • A substitute for any licensed professional clinical or medical care
  • A crisis intervention service

The Coach is not a licensed medical professional, licensed therapist, psychiatrist, psychologist, or licensed addiction counselor. The Coach does not diagnose, treat, or cure any mental, physical, or medical condition. Nothing communicated during any coaching session, via messaging, or through any program materials constitutes medical or clinical advice.

If you are currently under the care of a medical or mental health professional, you should continue that care and inform that professional of your participation in coaching. Coaching is designed to complement, not replace, any existing clinical care you may have.

If you believe you require clinical care, emergency psychiatric intervention, addiction medicine, or detoxification services, please seek that care immediately before engaging with coaching services. We will not begin a coaching engagement with any client we have reason to believe requires immediate clinical intervention.

3. Client Responsibilities and Commitments

As a Client, you agree and acknowledge the following:

3.1 Active Participation

Coaching outcomes depend entirely on your active participation, honesty, and consistent effort. The Coach provides structure, accountability, frameworks, and challenge. You provide the commitment, follow-through, and genuine engagement. Results are not guaranteed and are a direct function of your participation.

3.2 Honesty

You agree to engage with complete honesty throughout the engagement: in your intake information, during sessions, and in your accountability reporting. The effectiveness of the coaching relationship depends on accurate information. Providing false or misleading information undermines the engagement and does not entitle you to any refund.

3.3 Clinical Referral

You agree to seek appropriate clinical, medical, or psychiatric care if your situation warrants it. If the Coach determines during the course of the engagement that you may benefit from or require clinical intervention, you agree to take that referral seriously and to seek a clinical evaluation. Declining a clinical referral does not alter your payment obligations.

3.4 Emergency Protocol

If at any point during the engagement you are experiencing a mental health crisis, suicidal ideation, or are at risk of harming yourself or others, you agree to immediately contact emergency services (911) or the 988 Suicide and Crisis Lifeline (call or text 988) rather than relying on coaching services. You acknowledge that coaching services are not a crisis resource.

3.5 Confidentiality of Materials

You agree to maintain the confidentiality of all proprietary materials, frameworks, systems, and methodologies shared with you during the engagement, including but not limited to the Phoenix OS system, scorecard frameworks, and program workbooks. These materials are the intellectual property of The Bottled Phoenix and are for your personal use only. You may not share, reproduce, distribute, sell, or create derivative works from these materials.

3.6 Professional and Personal Decisions

You acknowledge that all decisions made during and following the coaching engagement, including professional decisions, financial decisions, relationship decisions, and health-related decisions, are yours alone. The Coach may offer perspective, challenge your thinking, and share frameworks, but all decisions and their consequences remain your responsibility. The Coach is not liable for any outcome arising from decisions you make during or following the engagement.

4. Coach Responsibilities

The Coach agrees to:

  • Provide services as described in the applicable program description at the time of enrollment
  • Engage with each client professionally, honestly, and with full commitment to the client's stated goals
  • Maintain strict confidentiality of all client information shared during the engagement
  • Refer clients to appropriate clinical professionals when the Coach has a reasonable belief that clinical care is warranted
  • Be honest when a client's situation appears to exceed the scope of coaching services
  • Decline to continue engagements that the Coach determines are inappropriate for coaching

5. Confidentiality

Information you share in the course of your engagement will be held in strict confidence. The Coach will not disclose your participation in any program, your name, or any content of your sessions to any third party without your explicit written consent, except as required by law or in situations involving a reasonable belief of imminent harm to you or others.

This confidentiality commitment is mutual. You agree not to publicly disclose the specific content of coaching sessions, proprietary methodologies, or any information shared in confidence by the Coach, including information shared in group program settings (such as THE FORGE).

6. Group Programs · THE FORGE

Clients participating in THE FORGE or any group coaching program acknowledge that information shared in the group setting will be heard by other participants. While all participants are bound by confidentiality obligations, we cannot guarantee the behavior of other participants. You agree to share only what you are comfortable with other participants knowing, and you agree to maintain strict confidentiality regarding the identities and shared content of all other group participants.

7. Scheduling and Attendance

Scheduled coaching calls are an important part of the engagement structure. Please provide at least 24 hours' notice for any reschedule request. Missed calls without advance notice (no-shows) are forfeited and not made up. Repeated no-shows may result in termination of the engagement without refund, at the Coach's discretion.

8. Communication Expectations

Between-session accountability access (via Voxer, WhatsApp, or other agreed platforms) is available during agreed hours as specified in each program description. This access is for accountability check-ins, brief questions, and crisis prevention, not extended sessions or medical questions. The Coach will respond within a reasonable timeframe during business hours. After-hours messages may not receive same-day responses.

9. Termination by the Company

The Bottled Phoenix reserves the right to terminate any engagement immediately and without refund if a client:

  • Engages in abusive, harassing, or threatening behavior toward the Coach or any staff
  • Provides materially false information during intake or the engagement
  • Attempts to record sessions without prior written consent
  • Shares proprietary materials with third parties without permission
  • Behaves in a manner that creates legal or safety concerns

In cases of termination by the Company for reasons other than Client misconduct, a prorated credit for unused services will be provided.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE BOTTLED PHOENIX LLC AND ITS FOUNDER, KEITH ALLEN SCHUH, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE COACHING ENGAGEMENT OR ANY DECISION MADE BY THE CLIENT DURING OR FOLLOWING THE ENGAGEMENT. THE COACH'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE CLIENT FOR THE SPECIFIC PROGRAM GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Governing Law

This Agreement shall be governed by the laws of the State of Indiana. Any disputes arising out of or related to this Agreement shall first be subject to good-faith negotiation, and if unresolved, to binding arbitration in Hamilton County, Indiana, in accordance with the rules of the American Arbitration Association.

12. Entire Agreement

This Coaching Agreement, together with the Terms of Service, Privacy Policy, and Refund and Cancellation Policy, constitutes the entire agreement between you and The Bottled Phoenix with respect to the coaching engagement. These documents supersede all prior agreements or understandings, whether written or oral.

13. Acknowledgment

By completing enrollment and payment for any program or service offered by The Bottled Phoenix, you acknowledge that you have read this Coaching Agreement in its entirety, that you understand its terms, and that you agree to be bound by it.
